less than 24 hours after it made headlines for selling over 1 million copies of Ninja Gaiden II, Tecmo is making news again. This morning, role-playing game giant Square Enix (Final Fantasy XIII) announced it was making an unsolicited but nonhostile bid for the Dead or Alive 4 publisher.

In a statement, Square Enix president Yoichi Wada presented the offer as an attempt to rescue Tecmo. In the span of two months, the publisher has been rocked by a declining stock price, class-action lawsuits, and the departure of and legal action by star designer Tomonobu Itagaki. Just last week, Tecmo president Yoshimi Yasuda abruptly stepped down, citing personal reasons.

"Tecmo is a group of excellent creators with a proven track record in the global market, which is a precious human resource of Japan," explained Wada. "We, however, cannot be optimistic about the future of this significant resource, given the current circumstances surrounding Tecmo. We believe that Tecmo will be able to make a great leap forward by joining Square Enix Group, which will provide the group with further growth opportunities as well."

Though Tecmo has not yet publicly commented on Square Enix's offer, it is likely tempting to many shareholders. The ¥920 ($8.46) per share offer is a 30 percent premium on Tecmo's ¥706 ($6.49) closing price on Thursday. The Bloomberg news service values the entire bid at 22.3 billion yen ($205 million). As a result of the offer, Tecmo stock shot up 14 percent to close ¥806 ($7.41) per share today, with Square Enix's stock rising 2.6 percent to ¥3,610 ($33.20).

While generous, Square-Enix's self-described "friendly takeover bid" (TOB) is very time-sensitive, expiring on September 4--next Thursday. Wada's statement ended with "If [Square Enix] should, by the deadline, receive no response from Tecmo, or fail to obtain consent by the board of directors of Tecmo to the TOB, the company will withdraw the proposal, and will NOT acquire the Tecmo shares through the TOB as planned in the proposal." (Emphasis in the original.)

Last week, Square Enix sent waves through the game industry by announcing a "friendly" offer to buy Tecmo for around $200 million. The unsolicited bid would've added the action games of the troubled latter, which includes the Ninja Gaiden and Dead or Alive series, to the massive role-playing portfolio of the former, which features the Final Fantasy and Dragon Quest series.

While Square Enix's offer put a generous 30 percent premium on Tecmo's stock, it also had a firm deadline of Thursday, September 4. Today, Tecmo President Yasuharu Kakihara rejected it outright, according to the Reuters news service. Instead, the publisher announced is in talks to merge with another Japanese game label, Dynasty Warriors-maker Koei.

"Through a merger, we expect we can grow further by respecting both companies' identities and having an environment in which employees can fully exhibit their skills," the two companies said in a joint statement. Kakihara also said he would not consider another offer by Square Enix, which is considering its next move.

Tecmo shares rose 7.5 percent to ¥937 (around $8.70) on news of the merger, with Koei's stock climbing 0.3 percent to ¥1,552 ($14.41) and Square Enix stock sliding 1.9 percent to ¥3,550 ($32.96). Trading of both Tecmo and Koei shares were halted by the Tokyo Stock Exchange before the closing bell.

Financial details on the Tecmo-Koei merger remained unclear as of press time. However, even a union of the two companies would be around 30 percent the size of Square Enix, with just ¥40 billion ($371 million) in sales. It would also mark the latest round of consolidation in the Japanese game industry, which saw the formation of Namco Bandai in 2005, Sega Sammy in 2004, and Square Enix in 2003.

Koei? really? over SE? whatever.

What good would obtaining Ninja Gaiden or Dead or Alive be without Itagaki? It's like Final Fantasy today, not worth the plastic it's being printed on. Koei however, still has titles that are enjoyable.

I think there are still alot more solid titles coming from SE as compared to Koei. Look at the trash that is Dynasty warriors as compared to say FFXIII.

Yeah, let's compared Dynasty Warriors, which is quite fun even after so many installments, against FFXIII, which is likely going to turn out like garbage in the same way FFXII was. After they've finally ripped Star Wars off in it's entirety, where do they go to for their inspiration?

To be fair, no one knows if FFXIII will or won't be trash. I'm more willing to bet it will be trash, simply because developers can't stop from making everything all about the next generation. Keeping things simple would do wonders more good for them, although i suppose you can't get much more simple than the pre-rendered cutscense that SE is sporting again.

Well, of course nobody knows if FFXIII will or won't be trash, which is why I said likely. Also, let's not forget their in-game clothing line advertising

What non-sports game(since advertising is a pretty huge part of sports) that's used in-game advertising turned out to be a mega hit?

SE still puts out ok titles. Up till XII, all the final fantasy games were good. So they only missed the boat on one. SE has there name on a lot of things now, but that still doesn't mean they developed the games. Like Infinite Undiscovery, they didnt make the game, they just published.

I do agree with you Make though. I'm not a fan of the art direction/style they've been going with and the "new gen" they've been trying to pull off.

There next title is The Last Remnant. I guess we'll see then if SE still has it in them.

Also, whats wrong with pre-rendered scenes? Is it because you like to control characters through scenes? Honestly I like the videos. Makes the character seem even more powerful and intimidating since we don't have an engine that can run with that type of technology on a full-time basis yet.

Why would clothes advertising have anything to do with the fact whether a game turns out to be a mega hit or not...

If you can't come up with an answer to a question, another question isn't a valid response. In-game advertising is a very bad sign. It means somewhere, money is tight. If money is tight, you aren't going to be making the product you want to make.

At least FFXIII is going to be turnbased. They got one thing right so far lol
